Terms of business

Written in plain English on purpose. If a clause below is unclear, that is my problem to fix rather than yours to decipher, so tell me and I will reword it.
1. Who you are dealing with
Tim Dennis, a sole trader based in King's Lynn, trading under my own name. There is no company, no team and no subcontractor. The person who quotes the work is the person who does it.
2. What I supply
A website with local SEO, or the full system with the app, office access and website. Which of them you get is whatever we agree in writing before I start, and that written agreement is what governs the job if it ever disagrees with this page.
Both packages run on my platform. The trade platform licence lets you use it for your business for as long as you are paying the monthly, and that licence covers everybody who works for you at no extra cost per head.
3. What it costs and when you pay
Prices are published on the pricing page, from £1,495 to build with £149 a month after that, up to £2,495 and £249 a month for the full system. The figures quoted are what you pay; if my VAT position changes, the published prices change with it rather than the invoice arriving different from the website.
Both packages use these payment terms:
- Half to book the slot. Because I build one at a time, taking your slot means turning down the next one. The deposit is what makes that a fair thing to do to both of us.
- Half when it goes live. When the agreed build is live and working. I check the enquiry route with you for a trade website, and a real job for the full system.
- The monthly starts on go-live. Not before. You are not paying a subscription for something you cannot use yet.
- No tie-in. One month’s notice, whenever you like. If the only thing keeping you is a contract then I have not built you something worth keeping.
Unless a payment stage above requires payment before work or launch, invoices are due within 14 days. If a monthly payment is more than 30 days late I will tell you before I do anything about it, and I will not take a site down without giving you reasonable warning in writing first.
4. What the monthly covers
Both packages: Hosting, domain renewal, security certificate, backups and technical maintenance are included. A monthly Search Console review and up to one hour of content work. I send you a short update on findings and changes. Use the content hour for edits or an agreed service or local page. Unused time does not roll over.
Full system: The same website care, plus one hour a month for configuration help or refresher training. No charge per user.
Unused configuration time doesn't roll over. New features, extra work and third-party costs need a separate written quote.
Corrections to my work and faults in what I maintain don't use these allowances. No package promises rankings or a number of enquiries.
5. Scope, content and revisions
Both packages: Up to ten launch pages, including up to five local pages. The page list is agreed before the deposit. I write the launch copy from your business details and photographs. Two combined rounds of revisions are included.
Full system: The app, office access, enquiries, quotes, invoices, diary and site records, configured for your business. Staff permissions and a one-hour handover included. Bulk data migration, custom features and third-party integrations are quoted separately.
- The build slot starts once the deposit and agreed content have arrived.
- Choose one person to approve the work and send each round of feedback as one list.
- Extra pages, new layouts and work beyond the agreed scope need a separate quote before I start.
- Corrections to my work and faults in what I maintain do not use your content or configuration allowance.
- These scopes apply to new quotations. Existing clients keep their written agreements.
If content or feedback is delayed for a month, I may release the slot after telling you. A new slot depends on availability.
You must have permission to use the content and photographs you supply. Writing policies, branding and buying photographs aren't included.
6. Who owns what
Your domain is yours, registered to you, and it stays yours whatever happens between us. Your content, your photographs, your customer records and your job data are yours, and you can have an export of them whenever you ask, including on the way out.
The trade system itself, the code behind it, and anything I build that is reusable across clients remain mine. You are buying the use of it, set up around your business, in the same way that the software running your accounts belongs to whoever wrote it.
7. Stopping
Either of us can end the monthly with one month's notice in writing, at any point, for any reason or none. There is no minimum term and no exit fee.
When it ends I will give you an export of your content and your data, and help point your domain wherever you want it pointed. For trade packages, I cannot hand over the platform itself, because it is not mine to give you exclusively. If you cancel part-way through a build, the deposit covers the slot and the work done to that point, and I will invoice or refund the difference honestly rather than keeping whatever happens to be in hand.
8. What I do not promise
I do not guarantee where you rank in Google, how many enquiries you get, or what they turn into. Nobody honestly can, and anybody who does is either guessing or lying. What I commit to is building the thing properly and keeping it working.
I will keep the site and the system available and I will fix things when they break, but I do not offer a guaranteed uptime figure, because the hosting underneath it is not mine and I am not going to pass on a promise somebody else made to me.
9. If something goes wrong
Tell me. Most things turn out to be a small fix once I know about them, and I would much rather hear about it early than find out at renewal.
Where I am legally responsible for a loss, my liability for any claim is limited to the amount you have paid me in the twelve months before it arose. I am not liable for lost profits, lost business or lost data beyond that, and nothing in these terms limits liability for death, personal injury, or fraud, because it is not permitted to and I would not want to.
10. Your information
How I handle personal data is set out in the privacy notice. Where I process data on your behalf as part of running your system, I do so on your instructions and I do not use it for anything else.
11. The legal bit
These terms are governed by the law of England and Wales, and the courts of England and Wales deal with any dispute. If any single clause turns out to be unenforceable, the rest still stands.
If I change these terms, the version that applies to your job is the one in force when we agreed it, unless we both agree otherwise in writing.
